SignKorea Subscriber Agreement Chapter 1. General Conditions Section 1. Objective This Agreement stipulates the basic conditions of the certificate service in accordance with the Electronic Signature Law, its' ordinance and regulations (hereinafter referred to as "Electronic Signature Law"), and the Certification Practice Statement of the Korea Cerification Authority Central of KISA -Korea Information Security Agency- and the Accredited Certification Authority of KOSCOM-Korea Securities Computer Corp. (hereinafter referred to as "SignKorea"). Section 2. Validation and Amendment of Agreement 1) This agreement is valid upon disclosure to the subscriber 2) This agreement is valid from the date of application until expiration of the certificate 3) SignKorea may, within reasonable conditions, change the contents of this agreement but must immediately give public notification of such change. If material modifications are made to the fees or to the rights and obligations of the subscriber, at lest seven days notice will be provided. Section 3. Disclosure and Rules of Agreement 1) Disclosure of this agreement and any relevant change of agreement will be posted on the monitor of the subscriber's certificate management program provided by SignKorea or at SignKorea's home page (http://www.signkorea.com). 2) Any issue not specified under this agreement will be subject to the Electronic Signature Law and SignKorea's Certification Practice Statement. 3) SignKorea's Certification Practice Statement can be found at SignKorea's homepage. Chaper 2. Service Section 4. Registration Authorities 1) SignKorea may conduct directly or designate an outside registration authority and local registration authority (hereinafter referred to as "LRA") to partly or in whole receive and process applications and conduct subscriber identification. 2) SignKorea may authorize a registration authority meeting certain requirements. Details of conditions, authority, responsibility and duties of the registration authorities will be based on a separate contract. Section 5. Service Application 1) SignKorea will issue a certificate to a subscriber who consents to this agreement and has paid a the specified fee. 2) Following the subscriber's identification and application with the registration authority, and once the subscriber has clicked on the "agreed" or "agreed to the subscriber agreement" button displayed in the window of the management program provided by SignKorea, such subscriber will be construed to be legally bound by this agreement. 3) By consenting to this agreement, the subscriber will be construed to have agreed to all service and software modification made by SignKorea. If a subscriber "do not agree" or "do not agree to the subscriber agreement" displayed in the window of the certificate management program and should not use SignKorea's certification service. Section 6. Suspension of Service SignKorea may suspend or delay service as a result of force majeure. Section 7. Subscriber Restriction SignKorea may revoke or decline a subscriber's certificate application if the subscriber has caused damage to a third party or is against public morals. Section 8. Prohibition of Monitoring and Fraudulent Usage SignKorea will not monitor or fraudulently use information on the subscriber's certification service. SignKorea may however utilize information such as the amount or frequency of usage of a certificate for the purpose of gathering statistics required for maintaining the safety of the system. Section 9. Private Key and Password Protection 1) The subscriber is fully responsible for the safe keeping of the private key and digital signature password. 2) The subscriber will be fully responsible for any loss resulting from negligence in protecting the private key and password, and improper usage. 3) If a private key was improperly used the subscriber must notify SignKorea immediately. SignKorea can restrict usage of such subscriber's certificate. Chapter 3. Subscriber Information Section 10. Collection of Subscriber Information 1) SignKorea will ask for mandatory and optional information in collecting subscriber information. 2) SignKorea will consider all information, including name, in the SignKorea certification service application as actual data. 3) Any subscriber using a false identity or false information may not be protected by law and will be restricted from using SignKorea's certification services. Section 11. Usage of Subscriber Information SignKorea will use subscriber information only for its' intended use and will not disclose any information to a third party without prior consent. However, such information can be released under the following circumstances; 1) Request by a governmental authority within legal procedure. 2) Statistics, promotion, academic and research purposes subject to nondisclosure of individual information. 3) Under other legal order or special situation designated by law. Section 12. Search, Modification and Deletion of Subscriber Information 1) A subscriber may search and modify personal information but can not delete it. 2) Although SignKorea has the authority to delete subscriber's information, SignKorea can not arbitrarily delete it since subscriber information must be maintained for a certain period as designated under the Electronic Signature Law. Section 13. Protection of Subscriber Information 1) SignKorea and LRA must designate members responsible for protection of subscriber's information. The number of members handling information should be limited and they must make sure information is safe from loss, theft, release and forgery. 2) If necessary, by applying a safe method such as electronic signature, user information may be transmitted through network and LRA. 3) The application filed by the subscriber and other relevant documents must be kept in a safe place for 10 years under the Electronic Signature Law. Chapter 4 Issuance Fee and Others Section 14. Certification Issuance Fee 1) SignKorea certification service is a pay service which applies an issuance fee for new and renewal certificates. 2) A subscriber applying to SignKorea certification service is considered to have agreed to the issuance fee. 3) Notwithstanding 1) and 2), SignKorea may not charge a service fee for a certain free service period. Section 15. Other Service Fee Other than the certification issuance fee, SignKorea may charge a service fee for certification usage. Fees for transaction time-stamp and verification service are in accordance with a separate contract. Section 16. Refund 1) A subscriber may request a refund for a paid fee in relation to issuance of a new certificate in accordance with the refund policy of the CPS if the certificate was not issued within issuable time. 2) Subject to the above paragraph, if the subscriber visits SignKorea within 7 days of the expiration of the requested certificate's issuable time and requests a refund, SignKorea will deduct any registration cost from the fee. Section 17. Customer Service Any inquiry or problem solution in regards to the SignKorea certification service can be made at the Client Support Service website (www.signkorea.com), E-mail(signkorea@koscom.co.kr) or using SignKorea's call center (02-767-7337) Chapter 5 Liability Section 18. Liability 1) In relation to the usage of SignKorea's certification service, SignKorea will provide compensation according to SignKorea's compensation standard and procedure for any damage incurred to the subscriber or user. 2) SignKorea is covered under insurance for such instances. Section 19. Immunity 1) SignKorea shall not be liable for any default due to any delay or suspension of certification service by electronic problems, network problems, acts of god and other causes beyond the control of SignKorea. 2) SignKorea shall not be liable for the suspension of the service failure in performance and any default arising out of the misusage of a computer by the subscriber or incurred because of the hardware and software applications of the subscriber. Section 20. Jurisdiction 1) If any dispute arising out of or in relation to SignKorea's certification service, including fees, is settled by lawsuit, the court governing the area of the SignKorea's main office have the jurisdiction 2) This Agreement shall be governed by and construed in accordance with the internal laws of the Country the Republic of Korea.
